A note on Pakistan's regulatory context
Pakistan does not yet have a tokenized-property registry like Dubai's DLD-backed model. Tokenize therefore uses a controlled SPV + legal-agreement structure first, with KYC/AML, banking-channel payments and risk disclosures, and will expand features such as secondary trading only with appropriate legal approval. Opportunities are subject to applicable SECP and other regulatory requirements.

What is tokenization?
Tokenization splits a valuable real-world asset into many small, asset-backed digital ownership units. Instead of buying a whole property, you buy units representing a proportional share.
What are real-world assets?
RWAs are tangible, income-generating assets โ real estate, coworking, restaurants, hotels, farms, warehouses and lifestyle venues โ not purely digital or speculative instruments.
How fractional ownership works
An asset worth PKR 100M can be divided into 100,000 units at PKR 1,000. Invest PKR 100,000 โ own 100 units (0.1%), earning 0.1% of income and appreciation.
How income works
Each cycle, net distributable income (after approved expenses and taxes) is split among unit holders by shareholding and paid to your wallet.
Blockchain for ownership
Legal rights stay with the SPV and investor agreement. Blockchain is a transparent ledger for records, history and auditability โ not a speculative coin.
Risks to understand
Returns are projected, not guaranteed. Value and income depend on market, occupancy, sales, operations and management. Liquidity is limited until secondary options open.

Please read these terms carefully before using Tokenize.pk. Last updated: June 2026.
1. Acceptance of terms
By accessing or using Tokenize.pk ("the Platform"), you agree to be bound by these Terms & Conditions and all applicable laws of Pakistan. If you do not agree, please do not use the Platform. Tokenize.pk is operated as a real-world asset investment technology platform and is not a crypto exchange, securities exchange, bank or licensed deposit-taking institution.
2. Eligibility & KYC / AML
You must be at least 18 years old and legally capable of entering contracts. Before investing, every user must complete identity verification (KYC) including CNIC/NICOP/passport, contact verification, bank-account verification, source-of-funds declaration and risk profiling. We screen against applicable sanctions/PEP lists. No investment is permitted before KYC approval, and we may decline or suspend any account at our discretion to remain compliant with AML obligations.
3. Nature of the investment
Each asset is held within a dedicated Special Purpose Vehicle (SPV) or equivalent legal structure. Investors purchase asset-backed digital ownership units representing a proportional beneficial interest in that SPV, governed by the relevant investor agreement. Ownership units are not cryptocurrencies, coins or freely tradable securities. Blockchain, where used, serves only as a transparent record-keeping and audit layer; legal rights are defined by the investor agreement and SPV documents.
4. Risk disclosure โ no guaranteed returns
All returns shown on the Platform are projected or target figures, not guarantees. The value of, and income from, any asset can go down as well as up. Risks include but are not limited to:
- Market and valuation risk (asset prices may fall)
- Occupancy, sales and operational performance risk
- Liquidity risk โ units may not be quickly resold
- Tenant, operator or management risk
- Regulatory, legal and tax changes
- Macroeconomic factors (inflation, interest rates, currency)
Invest only amounts appropriate to your risk profile, and read each asset's specific risk disclosure and documents before investing. Past performance is not indicative of future results.
5. Fees
Applicable fees (such as a transaction/platform fee and annual management fee) are disclosed on each asset page before you confirm an investment. Fees may vary by asset and are deducted as described in the relevant investor agreement.
6. Payments & banking channel
All investments and payouts are processed exclusively through verified banking channels (bank transfer, Raast or approved payment gateways). We do not accept cash. You confirm that funds used are from lawful sources and your own legitimate income or wealth.
7. Ownership records & documents
On confirmation of payment, ownership units are recorded to your account and a digital ownership record/certificate and investor agreement are made available in your dashboard. You are responsible for keeping your account credentials secure.
8. Income distribution
Where an asset generates income, net distributable income (after approved operating expenses, taxes and fees) is distributed to unit holders in proportion to their holdings, on the schedule described for that asset. Distribution timing and amounts depend on actual asset performance.
9. Exit & liquidity
Exit options vary by asset and may include platform-assisted resale, buyback, transfer to an approved investor, project maturity or asset sale. Public secondary trading is not offered unless and until it is legally approved. Liquidity is not guaranteed and exits may take time.
10. Privacy policy
We collect personal and financial information solely to operate the Platform, complete KYC/AML, process investments and meet legal and reporting obligations. We do not sell your data. Information may be shared with regulators, banking partners, auditors and service providers strictly as required. Documents are encrypted, access is role-based, and we apply 2FA and audit logging. You may request access to or correction of your data, subject to legal retention requirements.
11. Data security
We employ encryption, role-based access controls, two-factor authentication, audit logs and regular security testing. No system is perfectly secure, however, and you use the Platform at your own risk.
12. Limitation of liability
To the maximum extent permitted by law, Tokenize.pk, its operators, directors and employees are not liable for investment losses, indirect or consequential damages, or losses arising from asset performance, third-party conduct, or circumstances beyond our reasonable control. Nothing in these terms excludes liability that cannot be excluded by law.
13. Not financial advice
Content on the Platform is for information only and does not constitute financial, legal, tax or investment advice. Consider seeking independent professional advice before investing.
14. Governing law & disputes
These terms are governed by the laws of Pakistan. Any dispute shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan, and where applicable resolved through arbitration in accordance with Pakistani law.
15. Changes to these terms
We may update these terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised terms.
